Terms and Conditions

Preamble

TANGLE Inc. establishes the following terms and conditions regarding the art project “ReVIBES Project” (hereinafter referred to as the “Project”), developed in collaboration with Toei Video Co., Ltd., other rights holders, artists, and cooperating business partners. These Terms govern the use of the website, auctions, sales, exhibitions, events, information distribution, and all related services operated by the Project (collectively, the “Service”).

Article 1 (Purpose and Definitions)

1. These Terms set forth the conditions for use of the Service and define the rights and obligations between users and the Project.
 2. The following terms shall have the meanings set forth below:
 (1) “User” means any individual or entity that browses, registers for, bids on, purchases, inquires about, or otherwise uses the Service.
 (2) “Artwork” means any artwork, limited edition item, certificate, accessory, related material, or other item sold, exhibited, introduced, or traded through the Project.
(3) “Original Author” means the author who created the Original Work.
(4) “Original Work” means a copyrighted work created by the Original Author.
(5) “Original Rights” means the Original Work, trademarks, materials, rights, or rights related to the Original Author, including but not limited to manga, anime, videos, characters, original drawings, negatives, positives, titles, logos, settings, stories, and other works that serve as the basis for the production of the work.
(6) “Notices” means any information communicated to Users through the website, artwork pages, email, SNS, or any other method deemed appropriate by the Project.
(7)“Individual Conditions” means conditions separately established by the Project regarding individual transactions, including artwork pages, auction pages, sales notices, event notices, and winning bid notices.

Article 2 (Application of These Terms)

1. These Terms apply to all Users of the Service.
 2. Notices, Individual Conditions, auction rules, privacy policies, disclosures under the Act on Specified Commercial Transactions, and other separately established rules or conditions form part of these Terms.
 3. If these Terms conflict with Individual Conditions or auction rules, the Individual Conditions or auction rules shall prevail with respect to the relevant transaction.

Article 3 (Amendment of These Terms)

1. The Project may amend these Terms as necessary in accordance with Article 548-4 of the Civil Code of Japan and other applicable laws.
 2. When amending these Terms, the Project shall notify Users of the effective date and details of the amendments through postings on the website or by other appropriate means.
 3. Continued use of the Service after the effective date of amended Terms shall constitute acceptance of such amendments.

Article 4 (Notices and Communications)

1. Notices and communications between Users and the Project shall generally be made via email to the registered email address, postings on the website, the user account page, or other methods deemed appropriate by the Project.
 2. Notices sent to the registered email address shall be deemed received at the time they would normally arrive.
 3. Users shall keep their registration information accurate and up to date at all times. The Project shall not be liable for damages arising from incomplete or outdated registration information.

Article 5 (User Registration)

1. Certain features of the Service require user registration.
 2. Applicants for registration shall apply using the method designated by the Project after agreeing to these Terms, the Privacy Policy, auction rules, and other applicable conditions.
 3. The Project may refuse registration, suspend use, or cancel registration if the applicant:
 (1) Provides false, inaccurate, or incomplete information
 (2) Is a minor or otherwise lacks required legal guardian consent
 (3) Is affiliated with anti-social forces, sanctioned persons, or similar parties
 (4) Has previously violated these Terms, failed payment obligations, engaged in fraudulent bidding, or otherwise damaged trust with the Project
 (5) Refuses to cooperate with identity verification, fraud prevention, or compliance procedures
 (6) Is otherwise deemed inappropriate by the Project.

Article 6 (Changes to Registration Information)

Users shall promptly update registration information using the methods designated by the Project whenever changes occur. Changes affecting transactions, including shipping address, billing information, or payment methods after a successful auction, must also be promptly reported to info@revibes-art.com.

Article 7 (Withdrawal)

1. Users may withdraw from the Service using the procedures designated by the Project.
 2. If there are pending payments, shipping procedures, returns, defect handling, unpaid obligations, disputes, or legally required retention matters, the Project may suspend withdrawal procedures until such matters are resolved.
 3. Transactions completed prior to withdrawal and provisions intended to survive termination shall remain valid after withdrawal.

Article 8 (Management of Authentication Information)

1. Users shall strictly manage IDs, passwords, and other authentication information at their own responsibility and shall not allow third parties to use, borrow, transfer, or change ownership of such information.
 2. Actions conducted using authentication information shall be deemed actions of the registered User, except in cases caused by the Project’s intentional misconduct or gross negligence.
 3. Users shall immediately notify the Project if authentication information is leaked or suspected of unauthorized use.

Article 9 (Personal Information)

The Project shall handle personal information acquired in connection with the Service in accordance with the separately established Privacy Policy.

Article 10 (Artwork Information, Condition, and Warranty)

1. The Project shall post on the artwork page the title of the work, artist name, Original Author, size, materials, edition, year of production, certificate, condition, sale price, bidding conditions, and any other information that the Project deems necessary.
 2. Images, descriptions, dimensions, colors, and textures may not perfectly reproduce the actual artwork. Differences may occur due to viewing environments, lighting, photography conditions, material characteristics, framing, or production methods.
 3. The Project warrants that the works sold through the Project are officially licensed works based on agreements with, and permissions from, the Original Author, the participating artists, and any other necessary rights holders. However, the Project makes no warranty as to the future value, investment value, market price, secondary market price, exhibition opportunities, profitability, assessment of rarity, or any other economic value of the works.
 4. Production traces, material textures, minor scratches, aging, and slight condition differences resulting from framing, packaging, or transportation are inherent characteristics of artworks and shall not constitute defects or non-conformity.

Article 11 (Intellectual Property Rights)

1. All copyrights, moral rights, neighboring rights, trademark rights, design rights, merchandising rights, portrait rights, publicity rights, trade secrets, and all other intellectual property rights and related rights pertaining to the Service, the Site, the works, Original Works, characters, images, videos, text, logos, trademarks, designs, exhibition composition, project names, certificates, data, and other related materials shall belong to the Project, the Original Authors, the artists, or other lawful rights holders.
 2. Purchase, successful bidding, ownership, or transfer of an artwork transfers only ownership of the physical object or relevant edition piece and does not transfer or license copyrights, trademarks, merchandising rights, reproduction rights, adaptation rights, public transmission rights, exhibition, screening, streaming, publishing, advertising rights, NFT rights, digitization rights, derivative work rights, or other intellectual property rights.
3. Users shall not, without the prior written consent of the Project or the lawful rights holder, reproduce, modify, adapt, commercialize, use for advertising or promotional purposes, publish, distribute, convert into NFTs, digitize, create derivative works from, license to third parties, or otherwise commercially use the works, images of the works, Original Works, characters, logos, titles, or other related materials.
4. Users may use the works to the extent necessary for private appreciation, storage, non-commercial exhibition, or lawful resale. However, even in such use, Users shall not impair the reputation, credibility, brand value, or integrity of the Original Works, the artists, the Project, or any other related parties.
5. The Project, the Original Authors, the artists, sales collaborators, auction houses, galleries, media partners, and any other persons designated by the Project may use images, videos, titles, descriptions, production processes, exhibition views, sales records, winning bid prices, artist names, Original Works, project names, and similar materials relating to the works, free of charge, on a non-exclusive basis, without limitation as to period or territory, for purposes related to the Project, including public relations, advertising, sales promotion, exhibitions, catalogues, books, websites, social media, press releases, archives, criticism and research, support for secondary distribution, and introductions of future projects, both in Japan and overseas.
 6. Notwithstanding the above, the Project shall not publicly disclose personally identifiable information such as user names, addresses, portraits, or company names for promotional purposes without consent, except where required by law, publicly disclosed by the individual, or anonymized statistically.

Article 12 (Prohibited Conduct)

Users shall not engage in the following acts:
 (1) Violating these Terms, auction rules, Individual Conditions, laws, or public order and morals
 (2) Registering false information, impersonation, unauthorized access, account transfer, or improper use of multiple accounts
 (3) Bidding without intent to purchase, manipulating prices, shill bidding, collusion, or other acts impairing fair auction operations
 (4) Acts that infringe upon the rights, reputation, credibility, privacy, or brand value of the works, Original Works, artists, the Project, Original Authors, other Users, or any third parties
 (5) Misrepresenting transfer of intellectual property rights, authenticity, or provenance
 (6) Engaging in short-term price manipulation, speculative resale, fraudulent sale, or resale in a manner that damages the credibility of Original Authors or artists
 (7) Excessive load, tampering, analysis, or interference with systems, servers, or networks
 (8) Money laundering, providing benefits to anti-social forces, transactions with sanctioned parties, or other inappropriate acts
 (9) Other conduct deemed inappropriate by the Project.

Article 13 (Suspension, Cancellation, and Transaction Revocation)

If the Project determines that a User has violated or may violate these Terms, the Project may, without prior notice, suspend use of the Service, cancel registration, cancel bids or successful bids, suspend transactions, withhold delivery of artworks, claim damages, or take other necessary measures.

Article 14 (Suspension, Modification, or Termination of the Service)

The Project may suspend, modify, postpone, discontinue, or terminate all or part of the Service without prior notice in cases including system maintenance, system failure, natural disasters, communication failures, payment issues, shipping disruptions, legal or rights-related problems, contractual changes with related parties, or other unavoidable circumstances.

Article 15 (Disclaimer)

1. Except in cases of intentional misconduct or gross negligence by the Project, the Project shall not be liable for damages incurred by Users in connection with the Service.
 2. The Project shall not be liable for damages caused by communication lines, servers, payment systems, shipping providers, external services, user devices, or other matters outside the Project’s control.
 3. The Project does not guarantee future artwork value, market prices, resale prices, liquidity, investment returns, exhibition opportunities, third-party evaluations, criticism, or media coverage.
 4. If consumer protection laws or mandatory laws prohibit limitation of liability, such limitations shall apply only to the extent permitted by applicable law.

Article 16 (Indemnification)

If a User violates these Terms or causes damage to the Project, the Original Authors, the artists, cooperating business operators, other Users, or any other third parties in connection with the use of the Service, the User shall compensate such parties for the damage incurred.

Article 17 (Exclusion of Anti-Social Forces)

1. Users represent and warrant that they are not anti-social forces or equivalent parties and have no involvement with such parties.
 2. If a User violates the preceding paragraph, the Project may cancel registration, revoke transactions, suspend delivery of artworks, or take other necessary measures without prior notice.

Article 18 (Prohibition of Assignment)

Users may not assign, transfer, pledge, or otherwise dispose of their contractual status or rights and obligations under these Terms without prior written consent of the Project. However, lawful transfer of ownership of artworks through secondary market transactions shall not be restricted.

Article 19 (Severability)

If any provision of these Terms is determined to be invalid or unenforceable under applicable law or by a court of competent jurisdiction, the remaining provisions of these Terms shall continue in full force and effect.

Article 20 (Governing Law and Jurisdiction)

1. These Terms shall be governed by and construed in accordance with the laws of Japan.
2. Any dispute arising between the Project and a User in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court as the court of first instance.

Established and effective as of June 1, 2026.
